Confidentiality Agreement

Purpose

The Disclosing Party will share confidential information with the Receiving Party to evaluate a potential investment in or acquisition of the Property (the "Purpose").

Definition of Confidential Information

"Confidential Information" includes all information in the Offering Memorandum and any related financial documents or other proprietary information disclosed by the Disclosing Party.

Confidentiality Obligations

The Receiving Party agrees to:

  • Keep the Confidential Information confidential.
  • Use the Confidential Information only for the Purpose.
  • Not disclose the Confidential Information to any third party without the Disclosing Party's written consent.
  • Notify the Disclosing Party immediately if any unauthorized use or disclosure of Confidential Information occurs.

Exclusions from Confidential Information

Confidential Information does not include information that:

  • Is or becomes public through no fault of the Receiving Party.
  • Is received from a third party legally.
  • Is independently developed without using the Confidential Information.
  • Is required to be disclosed by law, with prior notice given to the Disclosing Party.

Return of Materials

Upon request, the Receiving Party will return or destroy all Confidential Information.

No Obligation to Proceed

This Agreement does not obligate either party to proceed with any transaction.

Governing Law

This Agreement is governed by the laws of the State of [State].

Entire Agreement

This Agreement is the entire agreement between the parties regarding the Confidential Information.

The Offering Memorandum

This offering memorandum (The “OM”) has been prepared by Dhruv Realty for information purposes only. The information contained herein is believed to be reliable, but no representation or warranty, express or implied, is made regarding its accuracy, completeness, or correctness. Prospective purchasers are encouraged to conduct their own due diligence and consult with their advisors before making any investment decision.

This memorandum is not an offer to sell or a solicitation of an offer to buy any securities or interest in the property. Any offering or solicitation will be made only to qualified prospective purchasers, pursuant to applicable laws and regulations. The information contained in this memorandum is confidential and is intended solely for the use of the recipient. It may not be reproduced or distributed, in whole or in part, without the prior written consent of Dhruv Realty.

Prospective purchasers should rely solely on their own investigation and evaluation of the property, and any investment decision should be made based on the purchaser's own analysis.
